1. Acceptance of Terms

By accessing, browsing, or using the website located at harmonyauto.lat (the Site), and any associated services, features, content, or applications offered by HarmonyAuto (collectively, the Services), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service (the Terms), including any additional guidelines, policies, or agreements referenced herein or otherwise made available to you by HarmonyAuto.

These Terms constitute a binding legal agreement between you, whether personally or on behalf of an entity you represent (you or your), and Nanfeng Heyue Auto Sales Co., Ltd., with its registered office at No. 15, 16, 17, Xinghuayuan, Extension Section of Judu Avenue, Qincheng Town, Nanfeng County, Fuzhou - 344000, China (CN), doing business as HarmonyAuto (HarmonyAuto, we, us, or our). If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

If you do not agree with all of the provisions set forth in these Terms, or if you do not have the legal capacity or authority to enter into a binding contract, you must immediately discontinue all access to and use of the Site and Services. Your continued use of the Site following any modifications to these Terms shall constitute your acceptance of the revised Terms, as further detailed in the Modifications section below.

2. Description of Services

HarmonyAuto provides professional services within the Computer Systems Design and Related Services industry, operating under the broader Professional, Scientific, and Technical Services sector. Our service offerings encompass, but are not limited to, computer integrated systems design, enterprise systems architecture consulting, cloud infrastructure engineering, data intelligence solutions, managed information technology services, infrastructure security assessment and design, and related technical consulting and advisory services.

The specific scope, deliverables, timelines, and fees for any professional engagement shall be set forth in a separate written agreement, statement of work, or service proposal executed by both parties. In the event of any conflict between these Terms and the terms of a separately executed service agreement, the provisions of the separate service agreement shall govern with respect to the subject matter of that engagement.

HarmonyAuto reserves the right to modify, suspend, or discontinue any aspect of the Site or Services at any time, with or without prior notice, and without liability to you or any third party. We may also impose limits on certain features or restrict access to parts or all of the Services without notice or liability. Any new features that augment or enhance the current Services shall also be subject to these Terms.

3. Eligibility Requirements

To access and use the Site and Services, you must be at least eighteen years of age, or the age of legal majority in your jurisdiction of residence, whichever is greater. By using the Site, you represent and warrant that you meet these age requirements and that you possess the full legal capacity to enter into a binding agreement under the laws applicable to you.

If you are using the Site or Services on behalf of a corporation, limited liability company, partnership, sole proprietorship, governmental entity, non-profit organization, or any other legal entity, you further represent and warrant that you have been duly authorized by that entity to act as its agent and to bind it to these Terms. The entity for which you act shall be considered the user for purposes of these Terms, and you personally warrant the enforceability of these Terms against that entity.

HarmonyAuto reserves the right to refuse access to the Site or Services, or to terminate the account or access privileges of any user, at our sole discretion, if we determine that the user does not meet the eligibility criteria set forth in this section or has otherwise violated any provision of these Terms.

4. Account Registration and Security

Certain features or areas of the Site and Services may require you to register for an account. When you create an account, you agree to provide accurate, current, and complete information about yourself or the entity you represent, and to maintain and promptly update that information to keep it accurate, current, and complete. You acknowledge that providing false, misleading, or incomplete information constitutes a material breach of these Terms.

You are solely responsible for maintaining the confidentiality of your account credentials, including your username, password, and any other authentication factors. You agree to accept full responsibility for all activities that occur under your account, whether authorized by you or not. You must immediately notify HarmonyAuto of any unauthorized use of your account, any breach of security, or any compromise of your credentials. HarmonyAuto shall not be liable for any loss or damage arising from your failure to comply with these security obligations.

HarmonyAuto reserves the right to suspend or terminate any account that we reasonably believe has been compromised, has been used in violation of these Terms, or has remained inactive for an extended period. We may also require you to change your password or authentication credentials at any time if we believe there is a risk to the security of your account or our systems.

5. User Obligations and Acceptable Use

As a condition of your access to and use of the Site and Services, you agree to comply with all applicable local, national, and international laws and regulations, including but not limited to those governing data protection, intellectual property, export control, and telecommunications. You further agree to use the Site and Services only for lawful purposes and in a manner consistent with their intended functionality.

You agree that you will not use the Site or Services to transmit, distribute, or store any material that is unlawful, defamatory, obscene, infringing, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent, deceptive, or otherwise objectionable as reasonably determined by HarmonyAuto. You also agree not to use the Site or Services in any manner that could damage, disable, overburden, or impair our servers, networks, or infrastructure.

You are solely responsible for obtaining and maintaining all equipment, software, internet connectivity, and other resources necessary to access and use the Site and Services. HarmonyAuto shall not be responsible for any charges, fees, or costs incurred by you in connection with such access, including but not limited to internet service provider fees, data charges, and equipment costs.

6. Intellectual Property Rights

All content, design elements, code, graphics, logos, trademarks, service marks, trade names, and other materials displayed on or made available through the Site and Services (collectively, the HarmonyAuto Content) are the exclusive property of HarmonyAuto, its licensors, or its content suppliers and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws. HarmonyAuto and its associated logos and brand identifiers are trademarks owned by Nanfeng Heyue Auto Sales Co., Ltd.

HarmonyAuto grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view the HarmonyAuto Content solely for your personal, non-commercial use in connection with your authorized use of the Site and Services. This license does not include any right to reproduce, modify, distribute, publicly display, publicly perform, create derivative works from, or otherwise exploit the HarmonyAuto Content without our express prior written consent.

Any feedback, suggestions, ideas, or recommendations you submit to HarmonyAuto regarding the Site or Services shall become the sole and exclusive property of HarmonyAuto, and we shall be entitled to use, implement, and commercialize such feedback without restriction, attribution, or compensation to you. You hereby assign to HarmonyAuto all right, title, and interest in and to any such feedback, to the maximum extent permitted by applicable law.

7. User-Generated Content

The Site and Services may allow you to submit, upload, post, transmit, or otherwise make available text, data, information, documents, images, or other materials (User Content). You retain ownership of any intellectual property rights you hold in your User Content. By submitting User Content, you grant HarmonyAuto a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with operating and providing the Site and Services.

You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to submit the User Content and to grant the license described above. You further represent and warrant that your User Content does not infringe, misappropriate, or violate the intellectual property rights, privacy rights, publicity rights, or any other rights of any third party.

HarmonyAuto does not pre-screen User Content but reserves the right, in its sole discretion, to review, monitor, refuse, or remove any User Content that violates these Terms or is otherwise objectionable. We assume no responsibility or liability for any User Content submitted by you or any third party. You bear all risks associated with the submission and publication of your User Content.

8. Prohibited Activities

In addition to the general obligations set forth in Section 5 above, the following specific activities are expressly prohibited in connection with your use of the Site and Services. Engaging in any of these activities constitutes a material breach of these Terms and may result in immediate termination of your access rights, legal action, and cooperation with law enforcement authorities.

The prohibited activities include, but are not limited to: attempting to gain unauthorized access to any portion of the Site, Services, or any other systems or networks connected to the Site; scanning, probing, or testing the vulnerability of the Site or any network connected to the Site; breaching or circumventing any security or authentication measures; using any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission; interfering with or disrupting the Site, Services, or servers or networks connected to the Site; forging any TCP/IP packet header or any part of the header information in any email or posting; introducing viruses, worms, Trojan horses, ransomware, or any other malicious or technologically harmful material; and using the Site or Services to send unsolicited commercial communications, spam, chain letters, or pyramid schemes.

9. Third-Party Links and Services

The Site and Services may contain links to third-party websites, applications, resources, or services that are not owned, operated, or controlled by HarmonyAuto. These links are provided solely as a convenience to you and do not constitute an endorsement, sponsorship, or recommendation by HarmonyAuto of the third party, its content, products, or services. HarmonyAuto exercises no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party website or service.

You acknowledge and agree that HarmonyAuto shall not be responsible or liable, directly or indirectly, for any damage, loss, or injury caused or alleged to be caused by or in connection with your use of or reliance on any content, goods, or services available on or through any third-party website or service. We strongly encourage you to review the terms of service and privacy policies of any third-party website that you visit.

If you choose to access any third-party website linked from the Site, you do so entirely at your own risk. Any transactions, correspondence, or dealings you have with third parties found on or through the Site are solely between you and the third party, and HarmonyAuto shall have no liability or obligation with respect to such transactions or dealings.

10. Disclaimer of Warranties

The Site and Services are provided on an as is and as available basis, without any representations or warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by applicable law, HarmonyAuto, its affiliates, officers, directors, employees, agents, and licensors expressly disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing, course of performance, or usage of trade.

HarmonyAuto makes no warranty that the Site or Services will meet your requirements, will be available on an uninterrupted, timely, secure, or error-free basis, or that any defects or errors will be corrected. We make no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness, or reliability of any content obtained through the Site or Services. No advice or information, whether oral or written, obtained from HarmonyAuto or through the Site or Services shall create any warranty not expressly stated in these Terms.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above disclaimers may not apply to you to the extent prohibited by applicable law. In such jurisdictions, the scope and duration of such warranties and the extent of our liability shall be limited to the minimum extent permitted under applicable law.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall HarmonyAuto, its affiliates, officers, directors, employees, agents, or licensors be liable to you or any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation lost profits, lost revenue, lost data, business interruption, loss of goodwill, or cost of substitute services, arising out of or in connection with your use of, or inability to use, the Site or Services, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not HarmonyAuto has been advised of the possibility of such damages.

The aggregate liability of HarmonyAuto, its affiliates, officers, directors, employees, agents, and licensors to you for all claims arising out of or relating to the use of or inability to use the Site or Services, or otherwise under these Terms, whether in contract, tort, or otherwise, shall not exceed the greater of the total amount paid by you to HarmonyAuto for access to or use of the Site and Services, if any, during the twelve-month period immediately preceding the event giving rise to the claim, or one hundred United States dollars (USD 100.00).

The limitations of liability set forth in this section are fundamental elements of the basis of the bargain between HarmonyAuto and you. The Site and Services would not be provided without such limitations. The foregoing limitations shall apply even if the remedies provided under these Terms fail of their essential purpose.

12. Indemnification

You agree to defend, indemnify, and hold harmless HarmonyAuto, its affiliates, and their respective officers, directors, employees, agents, successors, and assigns from and against any and all claims, demands, actions, suits, proceedings, investigations, liabilities, damages, losses, judgments, settlements, costs, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Site or Services, your violation of these Terms, your violation of any applicable law, rule, or regulation, your infringement or misappropriation of any intellectual property or other right of any person or entity, or any User Content you submit, post, or transmit through the Site or Services.

HarmonyAuto reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You shall not, in any event, settle any claim or matter without the prior written consent of HarmonyAuto, which consent shall not be unreasonably withheld, conditioned, or delayed.

13. Termination and Suspension

These Terms shall remain in full force and effect while you access or use the Site or Services. HarmonyAuto reserves the right, in its sole discretion and without prior notice or liability, to suspend, restrict, or terminate your access to all or any part of the Site or Services at any time, for any reason or no reason, including but not limited to your breach of these Terms or any applicable law.

Upon termination of your access rights, your right to use the Site and Services shall immediately cease. All provisions of these Terms that by their nature should survive termination shall survive termination, including but not limited to provisions relating to intellectual property rights, disclaimer of warranties, limitation of liability, indemnification, governing law, and dispute resolution. Termination of your access shall not relieve you of any obligations accrued prior to the effective date of termination, including any payment obligations.

You may terminate these Terms at any time by discontinuing your use of the Site and Services and closing any account you have registered. Termination by you will not relieve you of any liability for breaches of these Terms that occurred prior to such termination.

14. Governing Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or your use of the Site or Services, shall be governed by and construed in accordance with the laws of the Peoples Republic of China, without giving effect to any conflict of law principles that would result in the application of the laws of any other jurisdiction.

Subject to the Dispute Resolution section below, you hereby irrevocably consent to the exclusive jurisdiction of and venue in the competent courts located in Fuzhou, Jiangxi Province, China, for the resolution of any disputes arising under or in connection with these Terms. You waive any objection to the laying of venue in such courts on the grounds of forum non conveniens or otherwise.

Notwithstanding the foregoing, HarmonyAuto may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or to prevent imminent and irreparable harm. To the extent permitted by applicable law, the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded from application to these Terms.

15. Dispute Resolution

HarmonyAuto is committed to resolving disputes with users in an efficient and cost-effective manner. Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site and Services by contacting HarmonyAuto directly and engaging in good faith negotiations for a period of at least thirty calendar days.

If the dispute cannot be resolved through direct negotiation, either party may submit the dispute to binding arbitration administered by a mutually agreed arbitration institution in Fuzhou, China, in accordance with its applicable arbitration rules. The arbitration shall be conducted in the English language by a single arbitrator mutually selected by the parties, or, if the parties cannot agree, appointed by the arbitration institution. The arbitration award shall be final and binding, and judgment on the award may be entered in any court having jurisdiction thereof.

All claims and disputes must be brought on an individual basis only, and not as a plaintiff or class member in any purported class, consolidated, collective, or representative action or proceeding. You hereby waive any right to participate in a class action lawsuit or class-wide arbitration against HarmonyAuto. This waiver applies to the fullest extent permitted by applicable law.

16. Modifications to These Terms

HarmonyAuto reserves the right, in its sole discretion, to modify, amend, supplement, or replace these Terms at any time. When we make material changes, we will post the updated Terms on this page and update the Last Updated date at the top of the document. We may also provide additional notice of material changes through a notice on the Site, by email to registered users, or through other reasonable means.

Your continued use of the Site and Services after the effective date of any modified Terms constitutes your acceptance of and agreement to be bound by the modified Terms. If you do not agree with the modified Terms, you must immediately cease all use of the Site and Services. It is your responsibility to review these Terms periodically to stay informed of any modifications.

All notices required or permitted to be given under these Terms shall be in writing and delivered by email, personal delivery, or certified or registered mail. Notice to HarmonyAuto shall be sent to the email or postal address listed above. Notice to you may be sent to the email or postal address associated with your account or provided through the Site.

18. Severability and Waiver

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary so that the remaining provisions of these Terms will continue in full force and effect. The invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent as closely as possible.

No waiver by HarmonyAuto of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of HarmonyAuto to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. No waiver shall be effective against HarmonyAuto unless made in writing and signed by an authorized representative of HarmonyAuto.

19. Force Majeure

HarmonyAuto shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from any cause beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, riots, embargoes, acts of civil or military authorities, fire, floods, earthquakes, storms, epidemics, pandemics, quarantines, labor disputes, strikes, lockouts, power outages, telecommunications or internet disruptions, equipment failures, or governmental orders, laws, or regulations.

During the pendency of a force majeure event, the obligations of the affected party shall be suspended to the extent made impossible or impracticable by the event, provided that the affected party uses commercially reasonable efforts to mitigate the effects of the event and resumes performance as soon as reasonably practicable after the event ceases or is resolved.

20. Entire Agreement

These Terms, together with any other agreements, policies, or guidelines expressly incorporated by reference herein, including the HarmonyAuto Privacy Policy, constitute the entire agreement between you and HarmonyAuto concerning the subject matter hereof and supersede all prior or contemporaneous communications, representations, understandings, and agreements, whether oral or written, between the parties relating to the subject matter of these Terms.

In the event of any conflict or inconsistency between these Terms and any other document or agreement referenced herein, these Terms shall control with respect to your use of the Site and Services, unless such other document or agreement expressly states that it supersedes these Terms with respect to a specific subject matter.

The section headings used in these Terms are for convenience of reference only and shall not affect the interpretation or construction of any provision herein. Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party. These Terms inure to the benefit of and are binding upon the parties and their respective successors and permitted assigns.
